# Audit report

> Audit the code at exactly these repository-relative entry paths: ["reference/managed-counter/Counter.sol"]. Review every contract declared in those files and follow their imports and runtime dependencies. These paths are the required review subjects even when they are outside contracts/src. Do not substitute a general repository audit or previously reviewed network infrastructure. Each specialist and the final judge must identify the entry files actually read, summarize their behavior and state any missing coverage. If an entry file cannot be read, report incomplete coverage instead of a clean review. Four agents audited the code as it is at `f697ba0`, each in one area (math, permissions, economics, control flow),
and a judge reproduced, merged and ranked what they found, then read the code once more itself. Nothing in the repository was changed or deployed.

## Findings

### 1. Low: Unbounded initialCount lets an approved activation permanently disable increment() and incrementTwo()

`reference/managed-counter/Counter.sol:17`

```
        count = initialCount;
```

initializeCounter stores any uint256 without an upper bound. The module's only mutating operations are checked arithmetic (`++count` at line 20 and `count += 2` at line 25 under solc 0.8.27), so an initial value at type(uint256).max makes increment() revert with Panic(0x11) on every call, and a value at max-1 makes CounterV2.incrementTwo() revert while increment() still succeeds (the two V2 operations diverge at the ceiling). Nothing can repair the value afterwards: the `initialized` flag at line 15 is sticky, CounterV2 adds no initializer, and an approved upgrade carrying initializeCounter(0) reverts with 'already initialized'. The registry (ClausManagedExecutor.execute, line 214) only checks keccak256(configuration) == initCallHash, and docs/managed-contracts.md line 24 says the reference must be activated with initializeCounter(7), but neither the registry nor Counter enforces that value. The actor is privileged: the project owner commits the initCallHash at registration and Claus must approve it, so this is missing input validation that approval review must catch by hand rather than an unprivileged exploit. The module holds no funds, so impact is permanent loss of the module's only user-facing feature (its stated purpose at line 8 becomes unsatisfiable). Merged from audit_economics, audit_math (both findings) and audit_flow. Verified: initializer guard, sticky flag, storage layout (slot 0 bool, slot 1 count, identical in V2), and no selector collision with the proxy's seven fixed functions. Minimal fix preserving the design: bound the input before line 17, e.g. `require(initialCount < type(uint256).max - 2, "initial count too large")` or a documented cap such as type(uint64).max, or make both increments saturate consistently.

**Reproduction**

State: ClausManagedExecutor deployed; Counter deployed as implementation. Input: registerProject with configuration = abi.encodeCall(Counter.initializeCounter,(type(uint256).max)) and initCallHash = keccak256 of those bytes; queue and execute the matching Claus-signed initial Approval in a later block. Expected: a live counter anyone can increment. Actual: count() == 2**256-1 and Counter(target).increment() reverts with Panic(0x11) for every caller forever. After an approved empty-data upgrade to CounterV2 (version() == 2), incrementTwo() and increment() still revert; an approved upgrade carrying initializeCounter(0) reverts with 'already initialized'. With initializeCounter(type(uint256).max - 1) instead, incrementTwo() reverts while increment() succeeds and count() becomes 2**256-1. Reproduced with forge 1.8.3 / solc 0.8.27 in test/scratch/CounterJudge.t.sol (testMaxInitialCountDisablesIncrementForever, testIncrementTwoRevertsAtMaxMinusOneWhileIncrementSucceeds), run from the repo root with FOUNDRY_SRC=proposals/managed-contracts FOUNDRY_TEST=test/scratch FOUNDRY_VIA_IR=true and remappings forge-std/=contracts/lib/forge-std/src/, @openzeppelin/contracts/=contracts/lib/openzeppelin-contracts/contracts/, managed-reference/=reference/managed-counter/, managed-proposals/=proposals/managed-contracts/.

### 2. Low: Empty activation leaves the initializer live, so a later approved upgrade can overwrite a publicly accumulated count

`reference/managed-counter/Counter.sol:16`

```
        initialized = true;
```

The one-shot flag is only set when initializeCounter actually runs. ClausManagedProject.initialize returns early on empty data (ClausManagedProject.sol line 40) and the registry accepts an empty initCallHash for the first activation, so a Counter project can reach version 1 with initialized == false and a working public counter. In that state any later approved upgrade whose configuration is initializeCounter(N) passes both requires (msg.sender is the executor during the delegatecall from initialize, and initialized is still false) and replaces whatever count the public accumulated. docs/managed-contracts.md line 24 says the reference 'must be activated with the nonempty initializeCounter(7) configuration' and CounterV2's comment says 'no new initializer', yet the repository's own tests exercise the empty activation as valid (proposals/managed-contracts/CounterReference.t.sol i == 1, and test/managed-chain.test.mjs registers the Counter with configuration '0x'), so the set-once property is documentation only and the code does not enforce it. The path is privileged (owner mandate in force plus a Claus-approved upgrade) and the module is non-custodial, so this is a trust-boundary defect between the documented contract and the shipped code rather than an open bypass. Merged from audit_economics and audit_flow. Minimal fixes that keep the intended behaviour: make increment()/incrementTwo() require(initialized) so an empty activation yields an unusable module and the pipeline must send the documented configuration; or have initializeCounter revert when count != 0; or document that empty first activation is unsupported and reject it off-chain for this reference.

**Reproduction**

State: Counter registered with configuration = '' (initCallHash = keccak256('')) and activated by an approved initial Approval; version() == 1. Two arbitrary addresses each call increment(), so count() == 2; a direct initializeCounter(99) from one of them still reverts 'executor only'. Input: queue and execute a Claus-signed Approval with fromVersion = 1, fromCodeHash = Counter.codehash, implementation = CounterV2, initCallHash = keccak256(abi.encodeCall(Counter.initializeCounter,(0))). Expected under the documented set-once activation: 'already initialized' revert, count stays 2. Actual: execute succeeds, version() == 2 and count() == 0; the public tally is erased. Control: when the first activation carried initializeCounter(7) and one public increment made count() == 8, the same upgrade reverts with Error('already initialized'), version stays 1 and count stays 8. Reproduced in test/scratch/CounterJudge.t.sol (testEmptyActivationLetsUpgradeOverwritePublicCount, testNonEmptyActivationBlocksLaterInitializer) with the command given in the first finding.

### 3. Info: initializeCounter cannot succeed outside a ClausManagedProject proxy and fails with an empty revert

`reference/managed-counter/Counter.sol:14`

```
        require(msg.sender == IManagedIdentity(address(this)).executor(), "executor only");
```

The guard resolves the executor by calling executor() on address(this). That function exists only when Counter runs by delegatecall inside ClausManagedProject, whose immutable getter answers the self-call. Deployed and called directly, Counter has no executor() function and no fallback, so the external self-call reverts with empty return data and initializeCounter bubbles an empty revert instead of 'executor only'. A standalone copy therefore silently behaves as an uninitialised public counter with no diagnostic. This is consistent with its intended use as a managed module and is not a security defect; recorded so that reviewers of the reference do not misread the delegatecall-only dependency. Reported by audit_flow. Suggested: state the delegatecall-only requirement in the NatSpec, or check address(this).code / use try-catch so a misdeployment fails with a clear message.

**Reproduction**

Counter c = new Counter(); (bool ok, bytes memory err) = address(c).call(abi.encodeCall(c.initializeCounter,(7))). Expected: success or revert('executor only'). Actual: ok == false and err.length == 0 (empty revert from the missing executor() target). c.increment() then succeeds and count() == 1. Reproduced in test/scratch/CounterJudge.t.sol (testStandaloneInitializerRevertsEmpty).

### 4. Info: Managed Counter rejects all ETH transfers, and ETH forced onto the proxy is unrecoverable

`reference/managed-counter/Counter.sol:9`

```
contract Counter {
```

Counter declares no receive, fallback or payable function. With Counter installed, the proxy's payable receive()/fallback() delegatecall into Counter with empty calldata and revert, so plain value transfers to a managed Counter fail, and increment() rejects value because it is non-payable. ETH can still be forced onto the proxy address (selfdestruct beneficiary, block reward, pre-funding the predicted target) and no code path in this module or in CounterV2 can move it. This matches the 'non-custodial' comment and docs/managed-contracts.md line 44 says the proxy is not a payment path, so it is recorded as a verified property and residual risk rather than a defect. Reported by audit_flow.

**Reproduction**

After activating a Counter project at target with initializeCounter(7): (bool ok,) = target.call{value: 1 wei}(''); ok == false. target.call{value: 1 wei}(abi.encodeCall(Counter.increment,())) also returns false. vm.deal(target, 1 ether) (stand-in for a forced transfer) leaves target.balance == 1 ether with no function able to spend it. Reproduced in test/scratch/CounterJudge.t.sol (testEtherRejectedAndStranded).
